TERMS OF USE FOR DLMM KING
Last updated: September 25, 2026
These Terms of Use ("Terms") govern access to and use of the website available at dlmmking.com and any related subdomains (collectively, the "Website"), including the decentralized exchange application, analytics, staking, referral and other functionality made available through the Website (together with the Website, the "Service").
Blue DAO LLC, a limited liability company organized under the laws of the Republic of the Marshall Islands, operates the Service under the name "DLMM King". In these Terms, "DLMM King", "we", "us" and "our" refer to that company.
Please read these Terms carefully. By accessing or using the Website or the Service, or by connecting a Wallet, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree to these Terms, you must not access or use the Website or the Service.
1. WHAT DLMM KING IS
1.1
DLMM King is a decentralized exchange interface and set of smart contracts on the Base and Robinhood Chain networks. It runs the Liquidity Book concentrated-liquidity design (versions 2.0 and 2.2) and enables Users to:
(a) view read-only information such as pool data, positions, profit-and-loss estimates, fees, a leaderboard and a fee-heat map ("Gold Map"), by entering any public wallet address, without connecting a Wallet;
(b) swap Crypto Assets, including through routes compared across DLMM King pools and the De1 aggregator;
(c) create pools, provide and withdraw liquidity, shape liquidity across price bins, and claim or compound fees;
(d) stake the KING token, follow or create referral codes, and claim referral rewards; and
(e) perform other blockchain-based activities made available through the Service from time to time.
1.2
DLMM King comprises both the DLMM King smart contracts (the protocol) and the web interface to them. It is non-custodial. The Service:
(a) does not take custody, possession or control of a User's Crypto Assets, which remain in the User's Wallet or in the relevant smart contracts at all times;
(b) does not access, request or store any private key, seed phrase or other Wallet-access credential;
(c) does not sign, execute or independently authorize any transaction on a User's behalf; and
(d) is not the buyer, seller, counterparty, broker, dealer, market maker, custodian or intermediary in respect of any transaction.
1.3
Every transaction must be independently reviewed, authorized and signed by the User through the User's own Wallet. Transactions are then executed and settled by the relevant smart contracts and Blockchain, not by DLMM King. A User's liquidity can be withdrawn by the User directly from the relevant pair contract, including through a block explorer, independently of the Website.
1.4
DLMM King's smart contracts are based on the Liquidity Book concentrated-liquidity design created by LFJ, deployed and operated by DLMM King. DLMM King is an independent product and, except as expressly stated, is not operated by, endorsed by, sponsored by or affiliated with LFJ, Base, Robinhood, the De1 aggregator or any token issuer whose assets are viewable or tradable through the Service. Names and marks of third parties are used for identification only.
1.5
The Service is only one means of interacting with the underlying smart contracts. Users may interact with those smart contracts directly or through other interfaces, wallets or tools. Any restriction implemented through the Website applies only to the Website and does not restrict access to the underlying smart contracts.
2. DEFINITIONS
2.1
"Blockchain" means the Base network, the Robinhood Chain network, or any other network supported by the Service from time to time.
2.2
"Crypto Asset" means a digital asset, token, coin, liquidity position, staking position, NFT or other blockchain-based unit of value, including the KING token.
2.3
"KING" means the KING token, native to Robinhood Chain and available on Base as a LayerZero OFT representation.
2.4
"Service" means the Website, the DLMM King application, the DLMM King smart contracts and all related analytics, staking, referral, content and functionality made available by DLMM King.
2.5
"Third-Party Service" means any product, protocol, website, API, aggregator, bridge, oracle, node, indexer, RPC provider, data provider, Wallet, application, smart contract or service provided by a person other than DLMM King, including the De1 aggregator, the Base and Robinhood Chain networks, third-party token issuers, and the data and routing infrastructure on which the Service relies. The DLMM King smart contracts are not a Third-Party Service.
2.6
"User" or "you" means any natural person or legal entity accessing or using the Website or the Service.
2.7
"Wallet" means non-custodial software, hardware or another system that allows a User to manage private keys and authorize blockchain transactions.
2.8
"Wallet Address" means a public blockchain address entered into, connected to, viewed through or otherwise processed by the Service.
3. ELIGIBILITY AND RESTRICTED USERS
3.1
By accessing or using the Service, you represent and warrant that:
(a) you have the legal capacity to enter into a binding agreement;
(b) you are at least eighteen years old or have otherwise reached the age of legal majority in your jurisdiction;
(c) where you act on behalf of a legal entity, you have authority to bind that entity to these Terms; and
(d) your access to and use of the Service complies with all laws and regulations applicable to you.
3.2
The Service is not offered or directed to, and may not be accessed or used by, any person who is a citizen or resident of, located in, or organized under the laws of the United States of America, any member state of the European Union or the European Economic Area, or Switzerland (each a "Restricted Jurisdiction"). By accessing or using the Service, you represent and warrant that you are not a citizen or resident of, located in, or organized under the laws of a Restricted Jurisdiction, and that you are not accessing the Service on behalf of any such person.
3.3
The Service is not offered to, and may not be accessed or used by, any person who is subject to applicable economic or trade sanctions, who is owned or controlled by or acting on behalf of a sanctioned person, or for whom access to or use of the Service would violate applicable law in their jurisdiction.
3.4
Each User is solely responsible for determining whether the User may lawfully access and use the Service, and lawfully acquire, hold, swap, provide liquidity for, stake or otherwise interact with any Crypto Asset, in the User's jurisdiction. The technical availability of the Service in any jurisdiction does not constitute an offer or solicitation there, nor confirmation that use of the Service, or of any Crypto Asset, is permitted there. The absence of a technical or geographic restriction does not mean that a User is eligible or permitted to use the Service.
3.5
A User must not use a virtual private network, proxy, false information or other technical means to circumvent, or attempt to circumvent, any eligibility requirement, geographic restriction, Restricted-Jurisdiction limitation or other access restriction imposed by DLMM King, applicable law, a Third-Party Service, a token issuer or a smart contract. Any access obtained through such circumvention is unauthorized, and the User bears sole responsibility for the consequences, including under Section 15 (Indemnification).
4. WALLET ADDRESSES, PUBLIC DATA AND THE LEADERBOARD
4.1
The Service lets a User enter any public Wallet Address in order to view information associated with it, and displays wallets, positions and pools publicly, including ranked by profit-and-loss on the leaderboard and in shareable cards and replay videos. Information derived from public blockchain data is not confidential, and a User has no expectation that a Wallet Address entered into, or surfaced by, the Service will remain private.
4.2
By entering a Wallet Address, the User represents that doing so does not violate any law or any right of a third party. The User must not use the Service to harass, stalk, deanonymize, target or otherwise harm any person.
4.3
We may, at our discretion and without any obligation to do so, exclude a Wallet Address from public features such as the leaderboard, but we are not required to monitor, verify or remove any address or data. Requests for exclusion may be made through the channel in Section 20.
4.4
Profit-and-loss figures, rankings, "opportunities", the Gold Map and copyable liquidity shapes are informational only. Copying another wallet's liquidity shape copies its risk. Past performance is not indicative of future results and is not a recommendation.
5. USER WALLETS AND TRANSACTIONS
5.1
To transact, the User must connect a compatible non-custodial Wallet. DLMM King does not provide a Wallet and does not have access to Wallet-access credentials. The User is solely responsible for the security of the User's Wallet, device and credentials, for verifying token and contract addresses, for managing token approvals, and for reviewing all transaction details — including amounts, tokens, routes, bins, slippage and fees — before signing.
5.2
The User is responsible for all transactions authorized through the User's Wallet, whether or not the User personally intended or fully understood them. DLMM King is not responsible for unauthorized transactions or losses resulting from compromised credentials, malware, phishing, malicious browser extensions, fraudulent websites, compromised devices, or the acts or omissions of a Wallet provider.
5.3
Once submitted to a Blockchain, a transaction cannot be cancelled, modified, reversed or recovered by DLMM King. DLMM King cannot recover Crypto Assets sent to an incorrect address, through an incorrect network, to an incompatible or malicious smart contract, using incorrect parameters, or as a result of compromised credentials.
5.4
Quotes, prices, routes, estimated outputs, annual percentage rates and other values displayed through the Service may be estimates, may rely on Third-Party Services, may change before a transaction is confirmed and may differ from the final on-chain result. DLMM King does not guarantee best execution, the best price, the lowest fees or the lowest slippage available through any other venue. The User must set an appropriate maximum slippage and review all details before signing.
6. LIQUIDITY PROVISION AND POOL CREATION
6.1
Providing liquidity through the Service means depositing Crypto Assets into smart-contract pools. The User acknowledges the risks in Section 12, including impermanent and permanent loss, out-of-range positions that stop earning, and the possibility that a position underperforms simply holding the underlying assets.
6.2
Pool creation is permissionless: any User may create a pool for a supported quote token and an enabled bin step. DLMM King does not review, verify, endorse or take responsibility for any token, pool or liquidity shape created by any User. Anyone can create a token or a pool, including counterfeit tokens, tokens with malicious or hidden transfer logic, tokens that cannot be sold, and tokens subject to administrative control. The User must independently verify every token and contract address and assess every pool before interacting with it.
6.3
A User who creates a pool or a token, or who provides liquidity, is solely responsible for compliance with applicable law, including any law relating to the offering or distribution of securities, derivatives or other regulated instruments. The User must not use the Service to conduct an unlawful offering, a market-manipulation scheme, or any other unlawful activity.
6.4
The "Auto" and "Claim" pool types, the Liquidity Shaper, Auto-Fill Swap, Sweep and related tools are provided as software conveniences. The Liquidity Shaper and certain features may be in beta and may fail; the User should start with amounts they can afford to lose.
7. FEES
7.1
Access to and use of the Website for browsing and viewing information are provided free of charge.
7.2
Transactions carried out through the Service are subject to the following fees:
(a) Pool swap fee — a base fee plus a variable fee, charged per pool on each swap. Of this fee, the liquidity providers of the bins used receive 90–95% and the protocol receives a protocol share of 5–10%, set per pool;
(b) DLMM King routing fee — 0.05% on swaps that the Service routes through the De1 aggregator; swaps routed through DLMM King pools pay no routing fee;
(c) Network (gas) fees — paid to the relevant Blockchain; and
(d) any fees charged by Third-Party Services.
7.3
The protocol share and the routing fee are received by DLMM King or its designated addresses. DLMM King may add, change, disable or remove fees, protocol shares, presets and routes at any time; fee information displayed through the Service may be estimated and may change before a transaction is confirmed. The User is responsible for reviewing all applicable fees before authorizing a transaction.
8. KING TOKEN
8.1
KING is a utility token used within the Service. It is used, among other things, to stake for staking rewards, to gate and operate referral codes, to pay for certain features (such as Position Time Machine clips), and as an ordinary tradable and liquidity-providable asset. KING does not represent any share, equity, debt, deposit, security, ownership interest, governance right, or right to profits, dividends, redemption or repayment against DLMM King, Blue DAO LLC or any other person. The Service does not use KING for governance.
8.2
The KING token was launched through a third-party launch platform and not offered or sold to the public by DLMM King through the Service. DLMM King does not, through these Terms or the Service, make any offer or solicitation to buy or sell KING, and nothing in the Service is investment advice or a recommendation regarding KING or any other Crypto Asset.
8.3
The value of KING is determined solely by market forces and may be highly volatile; KING trades in thin markets and may lose value in part or in full. Program parameters that reference KING (such as staking-reward eligibility and referral payout capacity) use fixed program rates rather than the market price of KING, and may be updated as described in the Service documentation.
8.4
Certain token allocations, epoch rewards and other mechanisms described in the Service documentation may not be live and may be changed, delayed or withdrawn. Nothing in the documentation is a promise that any such mechanism will be implemented or that any Crypto Asset will have any value.
9. STAKING AND REFERRAL PROGRAM
9.1 Nature of the program
Staking and the referral program are optional software features. They do not create any deposit, account, loan, investment, security, or managed-investment relationship between the User and DLMM King, and DLMM King does not guarantee any reward, yield, return or rate. All rewards depend on actual on-chain activity and program parameters and may be zero.
9.2 Staking
A User may lock KING for a chosen period of 30 to 365 days and receive a transferable position represented by an NFT. Staking rewards are paid in KING and are, as described in the documentation, KING acquired on the market rather than newly minted. The reward share depends on a lock multiplier of up to 3.0×. Locked KING cannot be withdrawn before the end of the chosen lock period — not by the User and not by DLMM King. The shortest lock is 30 days. The User should lock only Crypto Assets they are willing to leave locked for the full period.
9.3 Emergency unlock
The staking contract includes an emergency-unlock function that only the contract owner can activate, for incident-response purposes. It is not a User control, and the User must plan on the basis that a lock is fixed for its full term.
9.4 Referral rewards
Referral rewards are paid only from the protocol share of swap fees, only to wallets that create or follow a referral code, and only in respect of eligible activity. Liquidity providers keep 90–95% of every swap fee; the program touches only the protocol share, of which 8% may go to a referrer and 2% to a referred liquidity provider, subject to the ceilings, floors, cycles and claim windows described in the documentation. Referral rewards are paid in USDC on Base or USDG on Robinhood Chain, on the payout chain fixed for the code.
9.5 Ceilings, cycles and forfeiture
Reward capacity is a ceiling, not a guaranteed payout, and is derived from raw staked KING at a fixed program rate. Amounts above a User's ceiling are not carried forward and may fund token buybacks. Rewards accrue in cycles and must be claimed within the applicable claim window; amounts not claimed within that window are forfeited and cannot be recovered. If a pot cannot cover all payees, the book is scaled down proportionally. DLMM King may adjust program rates and parameters, and may suspend or discontinue the program, as described in the documentation or where reasonably required.
9.6 Permanent choices
Certain choices are permanent and cannot be reversed by the User or by DLMM King, including the binding of a wallet to a referrer and the payout chain selected when a code is created. Each wallet may hold only one role (referrer or follower). The User is responsible for understanding these consequences before acting.
9.7 Compliance and taxes
The User is solely responsible for determining the legal and tax treatment of staking and referral rewards in the User's jurisdiction and for any registration, disclosure or reporting that may apply to referring other users.
10. TOKENIZED AND THIRD-PARTY ASSETS
10.1
Crypto Assets accessible through the Service, including tokenized equities available on Robinhood Chain, may be issued by third parties and are subject to their issuers' terms. Availability, transferability, redemption and eligibility may be restricted by the issuer, and an issuer or administrator may freeze, block, pause or otherwise affect such assets.
10.2
Unless expressly stated otherwise, DLMM King is not the issuer, seller, underwriter, broker, dealer, custodian, transfer agent or administrator of any such asset, does not verify its legal compliance, reserves, collateral or issuer solvency, and does not determine any User's eligibility to acquire, hold or transfer it. A tokenized asset may not confer the same legal or economic rights as the asset it references. The User is solely responsible for determining whether the User may lawfully interact with any such asset and for reviewing the issuer's documentation.
11. ACCEPTABLE USE
11.1
The User must use the Service only in accordance with these Terms and applicable law, and must not:
(a) use the Service for money laundering, terrorist financing, sanctions evasion, fraud, theft, market manipulation (including wash trading, spoofing and pump-and-dump schemes) or any other unlawful purpose;
(b) conduct an unlawful offering or distribution of securities, derivatives or other regulated instruments;
(c) use the Service to deanonymize, stalk, target or harm any person;
(d) knowingly exploit any error, vulnerability or malfunction of the Service or of any smart contract to obtain assets to which the User is not legitimately entitled;
(e) compromise, disrupt, overload or interfere with the Service or its infrastructure, or deploy malware or other harmful code;
(f) gain or attempt to gain unauthorized access to any system, account, infrastructure or data;
(g) impersonate DLMM King or falsely claim affiliation with or endorsement by DLMM King; or
(h) infringe the intellectual property, privacy or other rights of any person.
11.2
Users may use automated tools such as bots, scripts and indexers, provided such use complies with these Terms and applicable law, does not circumvent any restriction, and does not place an unreasonable load on, disrupt or compromise the Service. DLMM King may impose rate limits or other technical restrictions and may restrict or suspend access where it reasonably believes these Terms have been violated or a legal, security or operational risk exists. DLMM King is not required to monitor any User, Wallet or transaction.
11.3 Anti-money-laundering and sanctions warranties
The User represents, warrants and undertakes that:
(a) the User will not use the Service in any manner, or for any purpose, that is unlawful or that facilitates money laundering, terrorist financing, sanctions evasion or any other act that violates applicable law;
(b) the Crypto Assets the User uses in connection with the Service are not the proceeds of, and no transaction through the Service will facilitate or engage in, any criminal or unlawful activity;
(c) the User is not, and is not acting directly or indirectly on behalf of, a person that is subject to sanctions administered by the United Nations, the Republic of the Marshall Islands or another applicable authority, and is not included on any applicable sanctions list;
(d) the User is acting solely in the User's own economic interest and, where acting for another person, is duly authorized to do so; and
(e) as at the date of first accepting these Terms, no criminal or regulatory investigation is pending against the User in connection with money laundering, terrorist financing, sanctions or comparable matters.
If any of the circumstances in this Section changes, or any warranty ceases to be accurate, the User must immediately stop using the Service. DLMM King may restrict or suspend access, and is not required to restore access, where it reasonably believes any of these warranties is or has become untrue.
12. RISK DISCLOSURE
12.1
Crypto Assets, blockchains, smart contracts and decentralized-finance activities involve substantial risk. The User may lose some or all Crypto Assets used in connection with the Service and should not use the Service with Crypto Assets they cannot afford to lose. Without limitation, the User acknowledges:
(a) Smart-contract risk — the DLMM King smart contracts (which are based on the Liquidity Book design), including the pair, router, staking and referral contracts, may contain bugs, vulnerabilities or unintended behavior; audits do not guarantee safety;
(b) Market risk and impermanent loss — liquidity positions convert between tokens as prices move and may be worth less than simply holding; out-of-range positions stop earning;
(c) Beta-interface risk — the Liquidity Shaper and certain features are in beta and deposits or withdrawals may fail;
(d) Token risk — anyone can create tokens, including counterfeit, malicious or non-sellable tokens; the User must verify addresses independently;
(e) KING and staking risk — KING is volatile and thinly traded, locked KING cannot be withdrawn early, and staking and referral rewards are variable, capped, may be forfeited if unclaimed, and may be zero;
(f) Data and oracle risk — prices, PnL, rankings and other information may be delayed, incomplete, inaccurate or manipulated;
(g) Transaction risk — transactions may be irreversible, delayed, front-run, sandwiched, reordered, rejected or executed at a materially different price than expected (including through MEV);
(h) Network risk — Base and Robinhood Chain are Layer-2 networks and may experience sequencer outages, congestion, bridge issues, reorganizations or downtime;
(i) Tokenized-asset and issuer risk — as described in Section 10; and
(j) Regulatory risk — laws and regulatory treatment of Crypto Assets, decentralized finance, staking, referral rewards and tokenized assets may change and may affect access, legality or value.
13. DISCLAIMERS AND NO ADVICE
13.1
To the maximum extent permitted by law, the Website, the Service and all related content are provided on an "as is" and "as available" basis, without warranties of any kind, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security and uninterrupted operation.
13.2
DLMM King does not warrant that information provided through the Service is accurate, complete or current, that the Service or any transaction will be available, successful or error-free, or that any figure, ranking, quote, route, rate or "opportunity" shown will correspond to a User's actual results or to reality. Any reliance on the Service is at the User's own risk.
13.3
DLMM King does not provide investment, financial, legal, tax, accounting or trading advice, and does not act as a broker, dealer, exchange operator (in the regulated sense), custodian, fund manager, adviser or fiduciary. Nothing in the Service is a recommendation or solicitation to acquire, dispose of, provide liquidity for, stake or otherwise deal in any Crypto Asset. All decisions are made solely by the User, at the User's own risk. These Terms do not create any fiduciary, advisory, agency or trust relationship, and to the maximum extent permitted by law DLMM King disclaims any such duty.
14. LIMITATION OF LIABILITY
14.1
To the maximum extent permitted by applicable law, DLMM King and its affiliates, contributors, developers, service providers, officers, managers, employees, agents and representatives will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, opportunity, data, goodwill or Crypto Assets, or for any trading, liquidity-provision, staking or referral losses, in each case arising from or relating to the Website, the Service or these Terms.
14.2
Without limitation, DLMM King will not be liable for losses arising from or relating to: smart-contract errors or exploits; compromised Wallets or credentials; incorrect transactions; the creation of or interaction with any user-created token or pool; market volatility, impermanent loss or out-of-range positions; slippage or MEV; the KING token, staking, or referral rewards (including forfeited, scaled-down or unpaid amounts); tokenized-asset or issuer actions; the acts, data or routing of any Third-Party Service (including the De1 aggregator and the Base and Robinhood Chain networks); or the suspension, modification or discontinuation of the Service or any program.
14.3
To the maximum extent permitted by applicable law, the aggregate liability of DLMM King and all persons covered by Section 14.1 arising from or relating to the Website, the Service or these Terms will not exceed USD 100.
14.4
The limitations in this Section apply regardless of the legal theory on which a claim is based. Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited, including, where applicable, liability for fraud, willful misconduct or gross negligence to the extent such liability cannot be excluded under applicable law.
15. INDEMNIFICATION
15.1
To the maximum extent permitted by law, the User agrees to indemnify, defend and hold harmless DLMM King and its affiliates, contributors, developers, service providers, officers, managers, employees, agents and representatives from claims, liabilities, damages, losses, costs and reasonable legal fees arising from or relating to: the User's access to or use of the Service; the User's transactions and interactions with any Crypto Asset, pool, token, smart contract or Third-Party Service; the User's creation of any token or pool; the User's participation in staking or the referral program; the User's violation of these Terms or of applicable law; the User's violation of third-party rights, including by entering or using another person's Wallet Address; or the User's circumvention or attempted circumvention of any restriction under Section 3.5, including access from a Restricted Jurisdiction.
16. ADMINISTRATIVE FUNCTIONS AND PROTOCOL CHANGES
16.1
Certain DLMM King smart contracts include administrative functions, including the ability to set or change protocol fee shares and pool presets, to enable or disable bin-step presets, to fund and settle staking and referral pots, to adjust program parameters, and to activate an emergency-unlock function on the staking contract. These functions may be controlled by one or more Wallets, multisignature arrangements or other technical arrangements, and their existence creates additional technical, operational and governance risks. Contract addresses are published in the Service documentation and are verifiable on the relevant block explorers.
16.2
DLMM King may add, remove, disable, modify, suspend or discontinue any Blockchain, pool, token, route, feature, program or part of the Service at any time, with or without notice, and is not obligated to maintain any feature, support any network or Wallet, or continue any program.
17. THIRD-PARTY SERVICES
17.1
The Service uses, accesses, links to, displays information from, and routes transactions through Third-Party Services, including the De1 aggregator, Wallet providers, RPC and data providers, and the Base and Robinhood Chain networks. These are controlled by their respective providers and may be governed by separate terms and privacy policies. DLMM King does not control and is not responsible for their availability, accuracy, security, conduct or fees, and their integration, display, linking or use does not constitute an endorsement. The User is responsible for reviewing and accepting any applicable third-party terms.
18. INTELLECTUAL PROPERTY
18.1
The Website and its content, including its branding, logo, the "DLMM King" name, layout, graphics, text, databases and proprietary software, are owned by or licensed to DLMM King, except where otherwise stated. Public on-chain data is not owned by DLMM King, and third-party names and marks (including LFJ, Liquidity Book, Base and Robinhood) belong to their respective owners and are used for identification only. Certain smart contracts or components may be made available under open-source or source-available licenses, whose terms govern the relevant software.
18.2
Subject to these Terms, DLMM King grants the User a limited, non-exclusive, revocable, non-transferable and non-sublicensable right to access and use the Website for its intended purpose. Except where permitted by applicable law or an applicable license, the User must not copy, modify, reverse engineer, redistribute or create derivative works from the proprietary software, remove proprietary notices, or use DLMM King branding without authorization. This does not restrict lawful access to publicly available on-chain data. Feedback voluntarily submitted to DLMM King may be used without restriction or compensation.
19. SUSPENSION, TERMINATION AND CHANGES
19.1
The User may stop using the Service at any time; where applicable, the User should disconnect their Wallet and manage their own on-chain positions, approvals and locks. DLMM King may restrict, suspend, modify, discontinue or terminate access to all or part of the Service at any time, with or without notice, for security, legal, maintenance, infrastructure, program or business reasons.
19.2
Termination or discontinuation does not reverse blockchain transactions, close positions, withdraw Crypto Assets, revoke token approvals, release locked KING before its term, or affect rights or obligations that arose before termination. Sections relating to public data, the KING token, staking and referral consequences, intellectual property, risk, disclaimers, limitation of liability, indemnification, governing law and these miscellaneous provisions survive termination.
19.3
DLMM King may amend these Terms from time to time. An updated version will be made available through the Website and will identify the date of the latest revision. Non-material amendments, corrections and clarifications take effect when posted; amendments that materially affect Users' rights or obligations take effect seven (7) days after posting, unless an earlier effective date is reasonably required for legal, regulatory, security or operational reasons. Continued use after updated Terms take effect constitutes acceptance; if the User does not agree, the User must stop using the Service.
20. GOVERNING LAW, DISPUTE RESOLUTION AND NOTICES
20.1
These Terms and any non-contractual obligations arising from or relating to them are governed by the laws of the Republic of the Marshall Islands, without regard to conflict-of-law principles.
20.2
To the maximum extent permitted by applicable law, any dispute, claim or proceeding arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Republic of the Marshall Islands. Nothing in this Section deprives a person of mandatory rights that cannot lawfully be waived, including mandatory consumer-protection rights or mandatory jurisdiction rules of the User's place of habitual residence, to the extent such rights and rules apply notwithstanding the choice of law and jurisdiction in this Section. For the avoidance of doubt, this Section does not constitute an offer of the Service to any person in any jurisdiction where that would be unlawful and does not limit the restrictions in Section 3.
20.3 Binding arbitration and class-action waiver
Please read this Section carefully — it affects how disputes between you and DLMM King are resolved and, where it applies, requires individual arbitration instead of court proceedings or class actions.
(a) Informal resolution first. Before commencing any formal proceeding, you agree to try to resolve the dispute informally by contacting DLMM King through the channels in Section 20.4 and allowing at least sixty (60) days to reach a resolution.
(b) Agreement to arbitrate. Except as stated in this Section, any dispute, claim or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration on an individual basis, rather than in court. The arbitration will be administered by a recognized arbitration institution under its applicable rules, before a single arbitrator, seated in the Republic of the Marshall Islands (or another mutually agreed seat), conducted in English. The arbitrator decides the dispute and any question about the scope or enforceability of this arbitration agreement.
(c) Class-action waiver. To the maximum extent permitted by applicable law, you and DLMM King agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
(d) Exceptions. This Section does not require arbitration of: (i) claims that qualify for a small-claims or equivalent individual forum; (ii) claims to protect intellectual property; and (iii) claims for urgent injunctive relief. Nothing in this Section limits either party's ability to bring an individual matter to the attention of a regulator.
(e) Mandatory rights and consumers. This Section applies only to the extent permitted by applicable law. Nothing in it deprives a person of mandatory rights that cannot lawfully be waived, including the mandatory consumer-protection rights and the right of a consumer to bring proceedings before the courts of their place of habitual residence where such rights and rules apply notwithstanding this Section. Where mandatory law makes this arbitration agreement or the class-action waiver unenforceable for a particular person or claim, that dispute is instead resolved by the courts identified in Section 20.2, and the remainder of this Section continues to apply to all other disputes.
20.4
DLMM King may provide notices through the Website, the Service or official DLMM King communication channels. Notices to DLMM King concerning these Terms or legal matters, and requests to exclude a Wallet Address from public features, may be submitted through the official DLMM King communication channels identified on the Website.
21. MISCELLANEOUS
21.1
These Terms constitute the entire agreement between DLMM King and the User concerning the Service and supersede prior communications concerning the same subject matter.
21.2
If any provision is held invalid, illegal or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable or, if that is not possible, severed, with the remaining provisions remaining in effect.
21.3
Failure by DLMM King to enforce a provision does not waive the right to enforce it later.
